These Terms & Conditions ("Terms") govern access to and use of the Wrixi platform, website, mobile applications, and related services (collectively, the "Platform").

The Platform is owned and operated by DELAWAREINVEST INC, a Delaware corporation ("Wrixi," "Company," "we," "our," or "us").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. DESCRIPTION OF THE PLATFORM

Wrixi is a technology platform that facilitates connections between individuals and businesses seeking services ("Customers") and independent service providers ("Providers").

Wrixi provides software, communication tools, location services, request management systems, and related technology designed to assist Customers and Providers in connecting with one another.

Wrixi does not provide home services, repair services, maintenance services, professional services, construction services, transportation services, beauty services, healthcare services, legal services, or any other services offered by Providers through the Platform.

Wrixi is not a contractor, subcontractor, employer, staffing company, employment agency, broker, insurer, guarantor, or provider of the services listed on the Platform.

2. ELIGIBILITY

You may use the Platform only if:

• You are at least eighteen (18) years old
• You possess legal capacity to enter binding agreements
• Your use of the Platform complies with applicable laws
• You are not prohibited from using the Platform under any applicable law or regulation

By using the Platform, you represent and warrant that you satisfy all eligibility requirements.

3. USER ACCOUNTS

Users may be required to create an account.

You agree to:

• Provide accurate information
• Maintain current information
• Keep credentials confidential
• Restrict access to your account
• Notify Wrixi immediately of unauthorized access

You are solely responsible for all activity occurring under your account.

4. PROVIDER STATUS

Providers using the Platform are independent businesses or individuals operating independently from Wrixi.

Nothing contained in these Terms shall be interpreted as creating:

• Employment
• Agency
• Partnership
• Joint venture
• Franchise
• Fiduciary relationship

between Wrixi and any Provider.

Providers are solely responsible for:

• Taxes
• Licenses
• Certifications
• Permits
• Insurance
• Compliance obligations
• Business operations

Wrixi does not direct, supervise, control, or manage the manner in which Providers perform services.

5. CUSTOMER RESPONSIBILITIES

Customers agree to:

• Provide truthful information
• Describe service requests accurately
• Use the Platform lawfully
• Treat Providers respectfully
• Comply with all applicable laws

Customers shall not:

• Submit fraudulent requests
• Misrepresent facts
• Harass Providers
• Upload illegal content
• Circumvent Platform security

6. PROVIDER RESPONSIBILITIES

Providers represent and warrant that they:

• Possess required qualifications
• Possess required licenses where applicable
• Maintain required insurance where applicable
• Have authority to provide offered services
• Comply with applicable laws and regulations

Providers are solely responsible for services performed through the Platform.

7. NO GUARANTEE OF SERVICES

Wrixi does not guarantee:

• Availability of Providers
• Availability of Customers
• Response times
• Service quality
• Completion of work
• Workmanship
• Professional competence
• Suitability of Providers
• Suitability of Customers
• Accuracy of service descriptions

All services are provided solely by independent Providers.

8. PROVIDER VERIFICATION DISCLAIMER

Wrixi may request licenses, identification documents, insurance records, business registrations, or other verification materials.

However, any verification conducted by Wrixi is limited in scope and does not constitute certification, endorsement, recommendation, guarantee, or warranty of any Provider.

Customers remain solely responsible for evaluating Providers before engaging services.

9. USER CONTENT

Users may upload information including:

• Text
• Photos
• Documents
• Profile information
• Service requests

Users retain ownership of their content.

By uploading content, you grant Wrixi a worldwide, non-exclusive, royalty-free license to host, store, process, display, transmit, and use such content solely for operation, maintenance, security, and improvement of the Platform.

10. ARTIFICIAL INTELLIGENCE SERVICES

The Platform may use artificial intelligence technologies, including services provided by third-party providers such as OpenAI.

AI functionality may assist in:

• Categorizing requests
• Processing descriptions
• Improving request quality
• Generating informational outputs

AI-generated outputs are informational only.

Wrixi does not guarantee:

• Accuracy
• Completeness
• Reliability
• Suitability
• Legal correctness

Users remain solely responsible for decisions made based on AI-generated information.

11. PAYMENTS

For the current version of the Platform, payments for services are arranged directly between Customers and Providers.

Wrixi is not a party to payment transactions between Customers and Providers.

Wrixi does not:

• Collect service payments
• Hold funds
• Escrow funds
• Guarantee payments
• Guarantee refunds

Any disputes relating to payment shall be resolved directly between the Customer and Provider.

12. FUTURE PAYMENT SERVICES

Wrixi reserves the right to introduce integrated payment services, including services provided through Stripe Connect or other payment processors.

If such services are implemented, these Terms may be updated accordingly.

13. SUBSCRIPTIONS

Certain Platform features may require paid subscriptions.

Subscription fees:

• Are charged in advance
• Are subject to change
• Do not guarantee leads
• Do not guarantee customers
• Do not guarantee revenue
• Do not guarantee business opportunities

Unless otherwise required by law, subscription fees are non-refundable.

14. PROHIBITED ACTIVITIES

Users shall not:

• Violate laws
• Commit fraud
• Impersonate others
• Upload malicious software
• Interfere with Platform operations
• Harvest user data
• Circumvent security measures
• Submit false verification documents
• Abuse customer support
• Engage in spam activities

Wrixi may investigate violations and cooperate with law enforcement authorities.

15. SUSPENSION AND TERMINATION

Wrixi reserves the right, at its sole discretion and without prior notice, to suspend, restrict, disable, or terminate any account or access to the Platform if Wrixi reasonably believes that a user has:

• Violated these Terms;

• Violated applicable laws or regulations;

• Submitted false, misleading, fraudulent, or inaccurate information;

• Uploaded forged licenses, certifications, insurance records, identification documents, or other verification materials;

• Engaged in fraud, abuse, harassment, threats, discrimination, or other harmful conduct;

• Attempted to interfere with the operation, security, integrity, or functionality of the Platform;

• Misused the Platform in a manner that may expose Wrixi, its users, partners, or service providers to legal, financial, reputational, or security risks;

• Used the Platform in a manner inconsistent with its intended purpose.

Wrixi may investigate suspected violations and may cooperate with law enforcement authorities, regulatory agencies, courts, or governmental entities as required by law or as reasonably necessary to protect the Platform, its users, or third parties.

Users may terminate their accounts at any time through available account settings or by contacting Wrixi.

Termination of an account does not relieve any party of obligations accrued prior to termination, including payment obligations, indemnification obligations, dispute resolution obligations, or obligations relating to intellectual property rights.

Upon termination:

• Access to the Platform may be revoked immediately;

• User content may be removed or retained in accordance with applicable law and the Privacy Policy;

• Certain information may remain in backups, archives, security logs, or records required for legal, accounting, fraud prevention, compliance, or operational purposes;

• Subscription fees already paid shall remain subject to the applicable refund policy.

Wrixi shall not be liable for any losses, damages, lost profits, loss of business opportunities, loss of reputation, or other consequences arising from suspension or termination of an account.

16. INTELLECTUAL PROPERTY RIGHTS

All rights, title, and interest in and to the Platform, including all software, source code, databases, interfaces, designs, trademarks, logos, service marks, graphics, content, text, functionality, technology, and related intellectual property rights are and shall remain the exclusive property of DELAWAREINVEST INC and its licensors.

Except as expressly permitted by these Terms, users may not:

• Copy;

• Modify;

• Reproduce;

• Reverse engineer;

• Decompile;

• Distribute;

• License;

• Sell;

• Lease;

• Create derivative works from;

• Exploit commercially;

any portion of the Platform without prior written consent from Wrixi.

The Wrixi name, logo, trademarks, branding elements, and associated intellectual property may not be used without prior written authorization.

Nothing in these Terms transfers ownership of any intellectual property rights from Wrixi to any user.

Users retain ownership of content they submit to the Platform. However, by submitting content, users grant Wrixi the rights described in Section 9 for purposes of operating, maintaining, securing, improving, and providing the Platform.

Any feedback, suggestions, ideas, enhancement requests, recommendations, or comments provided by users regarding the Platform may be used by Wrixi without restriction, compensation, attribution, or obligation.

17. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WRIXI, DELAWAREINVEST INC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WITHOUT LIMITATION, WRIXI DISCLAIMS ANY WARRANTIES OF:

• Merchantability;

• Fitness for a particular purpose;

• Non-infringement;

• Accuracy;

• Reliability;

• Availability;

• Performance;

• Security;

• Compatibility;

• Quality of services provided by Providers;

• Qualifications of Providers;

• Results obtained through use of the Platform.

Wrixi does not warrant that:

• The Platform will operate uninterrupted;

• The Platform will be error-free;

• The Platform will be secure at all times;

• Defects will be corrected;

• Providers will perform services as expected;

• Customers will fulfill obligations;

• Information provided through the Platform will be accurate, complete, or current.

Any use of the Platform is at the user's sole risk.

No advice, communication, statement, information, or content provided by Wrixi shall create any warranty not expressly stated in these Terms.

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRIXI, DELAWAREINVEST INC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

• Indirect damages;

• Incidental damages;

• Special damages;

• Consequential damages;

• Exemplary damages;

• Punitive damages;

• Loss of profits;

• Loss of revenue;

• Loss of business opportunities;

• Loss of goodwill;

• Loss of reputation;

• Loss of data;

• Business interruption;

• Property damage;

• Personal injury;

• Emotional distress;

• Costs of substitute services;

arising out of or relating to:

• Use of the Platform;

• Inability to use the Platform;

• Interactions between Customers and Providers;

• Services performed by Providers;

• Services requested by Customers;

• User content;

• AI-generated outputs;

• Security incidents;

• Unauthorized access;

• Third-party services;

• Payment disputes;

• Account suspension or termination.

Wrixi is not responsible for acts, omissions, negligence, misconduct, fraud, criminal conduct, professional malpractice, licensing violations, insurance deficiencies, or service failures of any Provider or Customer.

To the maximum extent permitted by law, Wrixi shall have no liability for damages arising from any agreement, transaction, communication, or relationship formed between users of the Platform.

IF, NOTWITHSTANDING THE FOREGOING, WRIXI IS FOUND LIABLE FOR ANY CLAIM, THE TOTAL AGGREGATE LIABILITY OF WRIXI SHALL NOT EXCEED THE GREATER OF:

(A) ONE HUNDRED UNITED STATES DOLLARS (USD $100); OR

(B) THE TOTAL AMOUNT ACTUALLY PAID BY THE CLAIMANT DIRECTLY TO WRIXI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations set forth in this section shall apply regardless of the theory of liability, including contract, tort, negligence, strict liability, statutory claims, or otherwise, even if Wrixi has been advised of the possibility of such damages.

19. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Wrixi, DELAWAREINVEST INC, its affiliates, officers, directors, employees, contractors, agents, licensors, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• Your use of the Platform;

• Your violation of these Terms;

• Your violation of applicable law;

• Your interaction with another user;

• Your services as a Provider;

• Your service requests as a Customer;

• Your content;

• Your negligence, misconduct, fraud, or willful wrongdoing;

• Any claim that your actions caused injury, loss, damage, or harm to any person or property.

Wrixi reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully in such defense.

20. ARBITRATION AGREEMENT

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except where prohibited by applicable law, any dispute, claim, controversy, or disagreement arising out of or relating to these Terms, the Platform, or the relationship between you and Wrixi shall be resolved exclusively through final and binding arbitration.

This arbitration agreement applies to all claims, including:

• Contract claims;

• Tort claims;

• Statutory claims;

• Consumer protection claims;

• Fraud claims;

• Misrepresentation claims;

• Privacy claims;

• Claims relating to Platform use.

Arbitration shall be conducted by the American Arbitration Association (AAA) in accordance with its applicable rules then in effect.

The arbitration shall take place in Delaware, United States, unless otherwise required by law.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.

The arbitrator may award individual relief only and may not award relief affecting other users.

Judgment on the arbitration award may be entered in any court having jurisdiction.

The parties knowingly waive the right to trial by jury.

21. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WRIXI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS:

• A plaintiff or class member in any purported class action;

• A representative action participant;

• A private attorney general action participant;

• A collective action participant;

• A consolidated action participant.

Unless both parties expressly agree otherwise in writing, the arbitrator may not:

• Consolidate claims of multiple persons;

• Preside over any class proceeding;

• Preside over any representative proceeding;

• Award relief on behalf of anyone other than the individual party bringing the claim.

If this Class Action Waiver is found unenforceable with respect to a particular claim, then such claim shall proceed in a court of competent jurisdiction, and the remainder of these Terms shall remain in full force and effect.

22. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to any conflict of laws principles that would result in the application of the laws of another jurisdiction.

Subject to the Arbitration Agreement contained herein, any legal action that is not required to be arbitrated shall be brought exclusively in the state or federal courts located in Delaware.

You consent to the personal jurisdiction of such courts and waive any objections based on venue or forum non conveniens.

23. FORCE MAJEURE

Wrixi shall not be liable for any delay, interruption, failure in performance, loss, damage, or inability to provide the Platform caused by events beyond its reasonable control, including:

• Natural disasters;

• Floods;

• Fires;

• Earthquakes;

• Pandemics;

• Epidemics;

• Public health emergencies;

• Acts of war;

• Terrorist acts;

• Civil unrest;

• Government actions;

• Labor disputes;

• Utility failures;

• Telecommunications failures;

• Internet outages;

• Cyberattacks;

• Cloud provider outages;

• Failures of third-party service providers;

• Other force majeure events.

During any such event, Wrixi may suspend or limit access to the Platform without liability.

24. ELECTRONIC COMMUNICATIONS

By using the Platform, you consent to receive communications electronically.

Such communications may include:

• Terms updates;

• Privacy Policy updates;

• Account notices;

• Security alerts;

• Verification messages;

• Service-related notifications;

• Legal notices.

Electronic communications shall satisfy any legal requirement that communications be in writing.

25. SEVERABILITY

If any provision of these Terms is determined by a court or arbitrator to be invalid, unlawful, unenforceable, or void, such provision shall be modified to the minimum extent necessary to make it enforceable.

If modification is not possible, the provision shall be severed from these Terms.

The remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

26. WAIVER

No waiver by Wrixi of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

Failure by Wrixi to enforce any right or provision shall not constitute a waiver of such right or provision.

27. ASSIGNMENT

Wrixi may assign, transfer, delegate, or otherwise dispose of these Terms, in whole or in part, without notice to users.

Users may not assign, transfer, delegate, or otherwise transfer any rights or obligations under these Terms without prior written consent from Wrixi.

Any attempted assignment in violation of this section shall be null and void.

28. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Provider Agreement, Subscription Policy, Refund Policy, and any additional policies incorporated by reference, constitute the entire agreement between you and Wrixi concerning the Platform.

They supersede all prior or contemporaneous agreements, communications, representations, understandings, and proposals relating to the Platform.

29. CHANGES TO THESE TERMS

Wrixi reserves the right to modify, amend, update, or replace these Terms at any time.

Updated Terms shall become effective upon posting to the Platform unless otherwise stated.

Your continued use of the Platform following publication of revised Terms constitutes acceptance of the revised Terms.

If you do not agree to revised Terms, you must discontinue use of the Platform.
